These Terms of Service ("Terms") govern your access to and use of the MATTER website,associated content, software and services (“MATTER” or the “Services”). Please read these Terms carefully and contact us if you have any questions. By accessing or using MATTER, you agree to be bound by these Terms, our Privacy Policy, our Cookies Policy and our Community Guidelines.

Your access to and use of the Services is subject to these Terms and all applicable laws and regulations.

You may not:

access or use our Services if you are not legally and fully able to agree to these Terms;
make unauthorised copies, modify, adapt, translate, reverse engineer, disassemble, decompile or create any derivative works of our Services or any content included including any files or documentation (or any portion thereof) or determine or attempt to determine any source code, algorithms, methods or techniques embodied by our Services or any derivative works thereof;
distribute, license, transfer, or sell, in whole or in part, any of the Services or any derivative works thereof

incorporate the Services or any portion thereof into any other program or product. In such case, we reserve the right to refuse service, terminate accounts or limit access to the Services in our sole discretion;

intimidate or harass another, or promote sexually explicit material, violence or discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
use the Services in a manner that may create a conflict of interest or undermine the purposes of the Services;
use the Services to upload, transmit, distribute, store or otherwise make available in any way: files that contain viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful;
use any unsolicited or unauthorised advertising, solicitations, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other prohibited form of solicitation;
use any private information of any third party that you are not authorised to, including addresses, phone numbers, email addresses, number and feature in the personal identity document (e.g., National Insurance numbers, passport numbers) or credit card numbers;
use any material which does or may infringe any copyright, trademark or other intellectual property or privacy rights of any other person or third party;
use any material that would constitute, encourage or provide instructions for a criminal offence, threats of physical violence, dangerous activities or self-harm;

use any material that is deliberately designed to provoke or antagonise people, especially trolling and bullying, or is intended to harass, harm, hurt, scare, distress, embarrass or upset people;
use any material that, in the sole judgment of MATTER, is objectionable or which restricts or inhibits any other person from using the Services, or which may expose MATTER, the Services or its users to any harm or liability of any type.

In addition to the above, your access to and use of the Services must, at all times, be compliant with our Community Guidelines.

Our Content

Unless otherwise indicated, the Website and the information and content contained in or provided from or through this Website, including source code, databases, functionality, software, website designs, audio, video, text, photographs, digital content and graphics on this website are owned or licensed to us, and are protected by copyright and trademark laws.

No part of this Website or the information and content contained in or provided from or through the Services may be copied, reproduced, aggregated, publicly displayed, encoded, republished, uploaded, translated, distributed, sold, licensed, or otherwise utilised for any commercial purpose whatsoever, without our express prior written permission.

Provided that you are eligible to use the Services, you are granted a limited licence to access and use the Services and our content to which you have properly gained access solely for your personal, non-commercial use.

You shall not (a) try to gain unauthorised access to the Services or any associated networks or computer systeme; and/or (b) make for any purpose including modifications, adaptations or enhancements to the Services or our content, including the modification of physical or digital copies you may have downloaded.

You understand that you are using any and all information available through the Services and this website is at your own risk.

The information and content on our Services is provided for informational purposes only, without any express or implied warranty of any kind, including its accuracy, completeness, or fitness for any purpose.

If you are on our whitelist, you may be eligible to participate in the respective whitelist sales we may offer to purchase non-fungible tokens or NFTs. However, we make no guarantees about if and when such sales will occur, nor can we guarantee that all whitelist participants will be able to purchase a NFT, as supplies may be limited. We reserve the right to modify the terms of whitelist eligibility and the terms of any auction or sale.

Community members access to the whitelist will be granted at our sole discretion.

The information contained in or provided from or through our Services including this website is not intended to be and does not constitute financial advice, investment advice, trading advice, or any other advice.

The information on our Services and this website is general in nature and is not specific to you or anyone else. MATTER may terminate or suspend your right to access or use MATTER for any reason on appropriate notice. We may terminate or suspend your access immediately and without notice if we have a good reason, including any violation of our Community Guidelines.

Indemnity

You agree to indemnify and hold harmless EVRY.THING & Co Pte Ltd, their affiliates and their respective officers, directors, employees and agents, from and against any claims, suits, proceedings, disputes, demands, liabilities, damages, losses, costs and expenses, including, without limitation, legal and accounting fees and expenses (including costs of defense of claims, suits or proceedings brought by third parties), in any way related to your access to or use of our Service, your User Content, or your breach of any of these Terms.

Disclaimers

MATTER cannot give an assurance that the information posted by MATTER are correct, accurate, reliable, up-to-date, applicable and/or complete. There is no claim either that the contents and commercial offers as posted are free from defects. Our Services and all content on MATTER are provided on an "as is" basis without warranty of any kind, whether express or implied.

MATTER specifically disclaims any and all warranties and conditions of merchantability, fitness for a particular purpose, and non-infringement, and any warranties arising out of course of dealing or usage of trade. MATTER takes no responsibility and assumes no liability for any User Content that you or any other person or third party posts or sends using our Services. You understand and agree that you may be exposed to User Content that’s inaccurate, objectionable, inappropriate for children, or otherwise unsuited to your purpose.

Limitation of Liability

To the maximum extent permitted by law, MATTER shall not be liable for any indirect, incidental, consequential, special or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from A) your access to or use of or inability to access or use our website and/or Services; B) any conduct or content of any third party on the Service, including without limitation, any defamatory, offensive or illegal conduct of other users or third parties; or C) unauthorised access, use of alteration of your transmissions or content. In no event shall MATTER’s aggregate liability for all claims relating to the Service exceed one hundred US dollars (U.S.$100.00)

If we cause damage to you and you're a consumer in the EEA, the above doesn’t apply. Instead, MATTER’s liability will be limited to foreseeable damages arising due to a breach of material contractual obligations typical for this type of contract. MATTER isn’t liable for damages that result from a non-material breach of any other applicable duty of care. This limitation of liability won’t apply to any statutory liability that cannot be limited, to liability for death or personal injury caused by our negligence or wilful misconduct, or if and to exclude our responsibility for something we have specifically promised to you.

Subject to the above, MATTER shall not be liable to you for :

Any loss of profit, whether directly or indirectly incurred;
Any loss of opportunity;
Any loss of goodwill;
Any loss of data suffered by you;
Any indirect or consequential losses which may be incurred by you

Any loss or damage which may be incurred by you as a result of :

Any reliance placed by you on the completeness, accuracy or existence of any activity, relationship or transaction between you and any advertiser of sponsor whose activity appears on the Service;
Any changes which may make the Services, or for any permanent or temporary cessation in the provision of the services (or any features within the services);
The deletion of, corruption of, or failure to store, secure, any content and other communications data maintained or transmitted by or through your use of the Services;
Your failure to provide us with accurate account information; or
Your failure to keep your personal details secure and confidential

Governing Law and Jurisdiction

These Terms shall be governed by the laws of the Republic of Singapore, without respect to its conflict of laws principles.

Entire Agreement / Severability

These Terms, together with the Privacy Policy and any amendments and any additional agreements you may enter into with MATTER shall constitute the entire agreement between you and MATTER concerning the Services. If any provision of these Terms is deemed invalid, then that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.

No Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and MATTER’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision
